IP World Limited: Terms & Conditions 
For Membership Of 'The Mentors Guild'

1. Services: 

1.1 The Member (You) agree and understand that You are joining The Mentors Guild (The Guild) which also grants access to the Vault (login page) and to the Mentors' Resource Centre™ (login page).

1.2 You also agree and understand that such access is granted to You and no other person or business.

1.3 IP World Limited (The Company) confirm that the services may change from time to time as new products are developed and added to the Vault and Mentors' Resource Centre.

1.4 The Company is the owner of The Guild and the FORMULA brand and its resources and methodology.

2. Confidentiality:

2.1 The Company agrees to maintain in the strictest of confidence any and all confidential, commercial and sensitive information (Confidential Information) relating to You.

2.2 The Company agrees only to use the Confidential Information for the supply of the services to You and for no other purpose.

2.3 The Company agrees not to divulge any Confidential Information to any third party other than employees of The Company, all of whom are bound by these terms and conditions.

3. Terms and Termination:

3.1 You agree to join The Guild by paying a monthly subscription for membership of £297 Sterling (plus VAT if Your business is based in the UK). Your initial subscription is payable on the date of joining The Guild. All future monthly subscriptions of £297 are payable every calendar month until You inform the Company otherwise. 

3.2 The Company agrees to provide You with access to the Vault and Mentors' Resource Centre for as long as You agree to these Terms and Conditions.     

4. Money-Back Guarantee:

If You cancel Your membership to The Guild within 30 days of joining, The Company will refund Your initial subscription of £297 in full. 

5. Results:

The Company cannot guarantee any results of The Guild as results depend entirely on Your efforts and commitment.

6. Intellectual Property:

6.1 You agree that the material and methodology produced by the Company is the property of the Company and may not be used by You other than as described in material made available to You by The Guild whilst you are a current and subscribing member.

6.2 You also agree and acknowledges that all Trade Marks and Copyright in relation to The Guild, are the property of the Company. 

6.3. By achieving Guild certification, and only whilst You remain a member of The Guild, You may use the approved certified Guild logo in Your marketing and any other materials.

7. Your Trading Status:

7.1 You declare, warrant and represent to the Company that You are an independent contractor and nothing in these T&Cs renders You an employee or partner or agent of the Company and You will not hold yourself out as such.

8. Territory:

You understand that You are not buying a franchise and are therefore able to trade using The Guild methodology, anywhere in the world.

9. Reputation:

You agree not to do or say anything which may damage the name and reputation of the Company.

10. Governing Law:

These T&Cs and the interpretation and enforcement of them and all proceedings in any way arising from or relating to them shall be governed by and construed in accordance with English law and the parties submit to the exclusive jurisdiction of the English courts.

11. Inadvertent Disclosure:

Neither party shall be liable for disclosure of any confidential information if that information:

- Was in the public domain at the time it was disclosed.

- Is disclosed inadvertently despite the exercise of the same degree of care as the disclosing party takes to preserve and safeguard its own confidential information.

- Is received from a third party who is not under an obligation of confidentiality in respect of that information.

12. Entire Agreement:

This document contains the entire T&Cs of the parties and You acknowledge and accept them based on the description of The Guild as can be found on the 'Summary Page'

13. Commercial Loss:

At no time following You joining The Guild will either party be entitled to claim from the other party or its Directors any Consequential Loss or Liquidated Damages howsoever incurred.

This is an express and explicit term of these T&Cs.
